  • Investigação apura fraude de R$ 60 milhões na venda de imóveis do IRB

    O IRB Brasil Re anunciou nesta sexta-feira, 26, que concluiu uma investigação interna que identificou supostas fraudes praticadas por sua antiga diretoria, que caiu em março, após o ressegurador mergulhar na maior crise de credibilidade de sua história.

    Em fato relevante enviado à Comissão de Valores Mobiliários (CMV), a empresa informou que ex-executivos se apropriaram de cerca de R$ 60 milhões em forma de bônus pela venda de imóveis, além de terem recomprado um lote de ações, avaliado em R$ 100 milhões, acima do limite autorizado pelo seu Conselho de Administração, exatamente na época da polêmica carta da gestora Squadra.

    O IRB também identificou os responsáveis pela divulgação da informação falsa de que a Berkshire Hathaway fazia parte do seu quadro acionário, o que foi o estopim da crise da companhia, segundo uma outra investigação aberta em março, conduzida pela KPMG e pelo escritório de advocacia Felsberg.

    As duas apurações foram enviadas à CVM, à Superintendência de Seguros Privados (Susep) e ao Ministério Público Federal (MPF). Os procuradores abrirão inquérito, que deve correr em sigilo. O MPF poderá abrir denúncia à Justiça por gestão fraudulenta contra os antigos executivos.

    O IRB informou que vai seguir colaborando com as investigações e tomará as providências legais a fim de ser ressarcido dos prejuízos cometidos pelos indivíduos envolvidos.

    Demonstrações financeiras inconsistentes

    O inferno astral do IRB começou no início do ano, quando a gestora de investimentos Squadra apontou inconsistências nas demonstrações financeiras da empresa. Questionada, a antiga diretoria defendeu sua gestão até que veio à tona a notícia de que o bilionário Warren Buffett negara sua participação acionária na companhia.

    Em março, o CEO, José Carlos Cardoso, e o CFO, Fernando Passos, renunciaram aos seus mandatos. Mais recentemente, outros executivos deixaram IRB Brasil. Desde o início do ano, a ação da empresa de resseguros registra desvalorização de 70%.

    Nas investigações, o IRB não menciona alterações sobre seu balanço. As demonstrações financeiras do primeiro trimestre de 2020 deverão ser entregues na próxima terça-feira, 30, segundo o calendário entregue pela empresa à CVM, após dois adiamentos.

    O balanço de 2019, ainda sob a gestão da diretoria anterior, foi aprovado no início do ano pelo Conselho de Administração, que também passou por mudanças, com a saída da maioria dos conselheiros.

    O balanço do primeiro trimestre deverá trazer mudanças em relação aos itens apontados como recorrentes e não-recorrentes, que são extraordinários e não fazem parte do dia a dia do negócio – esses pontos estavam entre os questionamentos da Squadra.

    Na investigação interna sobre as fraudes, a atual gestão do IRB encontrou indícios de gestão fraudulenta praticada no exercício de 2019. De acordo com o IRB, houve a distribuição ilegal de cerca de R$ 60 milhões a título de bônus a ex-executivos. Tais operações teriam sido feitas pela venda de dois imóveis pela subsidiária IRB Investimentos e Participações Imobiliárias (IRBPar), de forma a evitar o conhecimento do Conselho de Administração, segundo apurou o Estadão/Broadcast.

    Quando a crise deflagrada pela Squadra já afetava o preço da ação do IRB na Bolsa de Valores, a antiga diretoria, sempre segundo a investigação feita pela atual gestão, teria recomprado, entre fevereiro e março deste ano, 2.850.000 ações – mais de R$ 100 milhões, pela cotação média de fevereiro – em quantidade acima da autorizada pelo Conselho de Administração.

    Essa recompra, segundo o Estadão/Broadcast apurou, deu prejuízo ao IRB, mas tinha o objetivo de sustentar o valor do papel na Bolsa, uma vez que os bônus pagos aos executivos eram associados à manutenção do preço da ação em determinado patamar. De acordo com a regra antiga que remuneração, que foi extinta exatamente após a crise deflagrada por esses executivos, a meta do bônus da diretoria era dobrar o valor de mercado da companhia em três anos, até maio de 2021.

    Após a queda da diretoria, o economista Antonio Cássio do Santos, conhecido da área de seguros e ex-presidente seguradora italiana Generali, assumiu a presidência do Conselho de Administração e acumula, desde então, a presidência executiva, com a missão de resgatar a companhia.

    Nos últimos meses, além da investigação, o trabalho tem sido fazer um pente fino no ressegurador, que envolveu alterações no estatuto social para melhoria da governança, aumento de diretores estatutários e mudança no Conselho de Administração, trazendo nomes de peso, como a de ex-ministra do Supremo Tribunal Federal (STF) Ellen Gracie.

    Além disso, a investigação da KPMG e da Felsberg concluiu que houve a divulgação de informação falsa sobre a Berkshire. A alegação, de que a empresa de Warren Buffet teria sido ou era acionista do IRB, partiu do ex-CFO da companhia, Fernando Passos. Ele foi o mentor do vazamento. A reportagem tentou contato nesta sexta-feira com Passos, mas não teve retorno imediato. Em março, ele negou, em nota enviada ao Estadão/Broadcast, que “teria produzido ou divulgado” tal informação.

    Ex-presidente da Assembleia Legislativa de Mato Grosso (ALMT), José Riva detalhou à Justiça Federal a tentativa comprar por R$ 5 milhões o silêncio do empresário Junior Mendonça, delator premiado na Operação Ararath.
    A informação, divulgada pelo site Gazeta Digital, foi exposta por Riva em audiência sobre a compra de uma vaga no Conselho do Tribunal de Contas (TCE). Na mesma audiência, o ex-parlamentar garantiu que “acertava” a vaga quem possuía capacidade de pagar.
     
    “Foi realizada uma reunião na casa de uma irmã do Sérgio, que era em um prédio lá na Avenida Antártica, era para expor a preocupação, uma estratégia, eles tinham pedido para o Blairo [Maggi] intervir para tentar ajudar, foi quando naquela ocasião levantaram que tinha que levantar R$ 5 milhões, que era o que o Gércio Marcelino queria para não delatar”, afirmou Jose Riva.
     
    Com a declaração realizada em março, José Riva assumiu a condição de colaborador unilateral. O objetivo da nova postura é alcançar benefícios como diminuição de pena futura ou mesmo absolvição.
     
    O encontro ocorreu logo após busca e apreensão na casa de Junior Mendonça. Porém, o resultado não foi o esperado. Blairo Maggi teria negado ajuda. “Essa reunião acabou não tendo muito efeito porque quando foram atrás do Blairo ele disse ‘cada um se vira com o seu’”.
     
    Compra de vaga
     
    O processo pela compra da vaga formulado pelo Ministério Público Federal (MPF) na Operação Ararath aciona, além de Riva, Éder Moraes, Alencar Soares, Humberto Bosaipo, Silval Barbosa, Leandro e Leonardo Soares, Márcia Soares Metello e Marcos Tolentino.

    A suspeita sobre a negociação da vaga surgiu justamente após depoimentos do empresário e delator premiado, Júnior Mendonça. O colaborador contou que o esquema teria sido iniciado em 2008, quando Sérgio Ricardo ainda ocupava o cargo de deputado estadual e era presidente da Assembleia Legislativa.

    O ex-deputado estadual confirmou em colaboração unilateral que se beneficiava com a vaga quem possuía mais dinheiro.

    “Isso é muito claro lá no colegiado. Se falava assim: Você tem dinheiro? Não. Lá vai precisar tanto. Se tem? Não. Então eu vou providenciar. Então quem providenciava mais, quem negociava ia. Isso não foi só com o Sérgio [Ricardo]. Em outros momentos eu creio que funcionou assim. Mas especialmente nessa do Sérgio funcionou assim”

    Os vínculos entre a X-Tudo Comunicação e o Azeite Royal passam pelo Flamengo, onde personagens envolvidos em casos notórios se encontram.

    Rômulo dos Santos Gonçalves, condenado em junho do ano passado pela Primeira Turma Especializada do Tribunal Regional Federal da 2ª Região (TRF2) a oito anos e meio de prisão por furto e associação criminosa, tem laços com figuras associadas às duas marcas presentes no Rubro-Negro.

    A condenação de Rômulo resulta de investigações sobre um esquema milionário de clonagem de cartões de crédito, no qual Eduardo Vinícius Giraldes Silva, homem à frente do Azeite Royal, um dos atuais patrocinadores do clube da Gávea, também estava envolvido. Em 2014, ambos tiveram prisão preventiva decretada, mas respondem ao processo em liberdade. Giraldes foi sentenciado a 5 anos, 10 meses e 15 dias. Ambos recorrem das sentenças.

    Rômulo também ingressou no ramo de restaurantes, possuindo participação em duas empresas administradoras de franquias da rede Espetto Carioca. Um de seus sócios é Bruno Lins Gorodicht, fundador da X-Tudo Comunicação, que gerencia redes sociais e cria peças publicitárias para o Flamengo desde o início da gestão de Rodolfo Landim. Marcelo Gorodicht, irmão de Bruno, é quem comanda a agência atualmente, embora não apareça formalmente na sociedade.

    A participação de Rômulo na rede Espetto Carioca é mencionada em uma decisão do STF de 2014, referente ao processo de clonagem de cartões com Eduardo Giraldes. A decisão destaca apreensões de carros luxuosos e movimentações financeiras significativas em suas contas, questionando a origem lícita desses recursos.

    Atualmente, Rômulo possui participação em duas empresas administradoras de franquias do Grupo Espetto, com capital social de R$ 600 mil, onde é sócio de Bruno Lins Gorodicht e Almerinda Pereira da Silva Souza. Ele também divide a propriedade da Bar e Botequim Espetto Américas, com capital de R$ 20 mil, com Leandro Pereira de Souza.

    Bruno Lins Gorodicht afastou-se formalmente da FSA Comunicação em janeiro de 2018, passando a gestão da X-Tudo Comunicação a Gabriel Trindade Silva, que foi preso em flagrante em maio daquele ano por dirigir uma moto roubada. Gabriel é sócio de três unidades da rede Espetto Carioca no Rio de Janeiro.

    A X-Tudo Comunicação trabalha atualmente no Flamengo através da M2FA Comunicação, criada em setembro de 2018, com sócios Francisco Cantanhede, Marcos Milton Romano Pedrosa e Ricardo de Aquino Correa. Na prática, Marcelo Gorodicht, irmão de Bruno, atua como diretor-executivo.

    O Vasco da Gama, outro grande clube do Rio, também tem vínculos com o Espetto Carioca e o Azeite Royal. Em 2018, a Espetto foi contratada emergencialmente para fornecer alimentação ao Vasco, mas alegou não ter recebido pelo menos três meses de pagamento, entrando na Justiça para cobrar cerca de R$ 2,9 milhões do clube. Um acordo foi assinado em julho do ano passado, prevendo o pagamento de R$ 1,671 milhão em parcelas até junho de 2022. Pouco antes, o Vasco assinou um contrato de patrocínio com o Azeite Royal até o fim de 2019, renovado para 2020.

    Rômulo dos Santos Gonçalves está ainda ligado a outro caso policial no Rio de Janeiro. Ele foi flagrado em escutas telefônicas utilizando um telefone de uma empresa chamada LGA Transporte e Materiais de Construção, registrada em nome de Abílio Veiga da Trindade, um laranja no esquema de fraudes de escrituras de terrenos na Barra.

    No esquema de clonagem de cartões, Giraldes e Rômulo instalaram máquinas de cartão de crédito adulteradas em estabelecimentos comerciais, com membros da organização se passando por funcionários de empresas de pagamento. O grupo comprava produtos com os cartões falsificados e repassava as mercadorias a receptadores. O processo contra Giraldes na Justiça Federal revelou um aumento patrimonial injustificado de 373% em 2011, com R$ 3,5 milhões acumulados em contas bancárias.

    Apesar da condenação, Rômulo tem viagem marcada para a Flórida entre 20 de fevereiro e 1º de março, autorizada pelo desembargador federal Paulo Espírito Santo, com base na decisão do STF que reverteu o entendimento de cumprimento imediato da pena após decisão em segunda instância.

    O Flamengo afirmou que “a X-Tudo não tem nada com o Azeite Royal”. A X-Tudo negou qualquer relação com Rômulo Gonçalves e a presença do Azeite Royal no Flamengo. Representantes da Espetto Carioca e do Azeite Royal não retornaram os contatos para a reportagem. O espaço permanece aberto para esclarecimentos.

    Fun, as you might imagine, was not how I would describe this adventure. Awesome? Yes. Fun? No. N.O. No way. But would I do it again? If I could rewind to that moment when the alarm went off at 4:30 a.m. to throw on clothes, grab our packs and trek up that mountain, would I? You bet your buttons I would. Here’s lives at the intersection of fun and scary. One of my companions summed the whole experience up perfectly. He leaned back in his chair at dinner that night, shrimp taco in hand, “These are the kinds of experiences that give something back to you. They show you who you are in a whole new way.”

    Though not miraculous, maybe a moment, like seeing the iridescent green of a beetle’s wing is enough beauty, even in its brevity, to create a connection. A flash of color not between us but between synapses.
